Vendor Agreement

VENDOR AGREEMENT

My Trusted Share Pte Ltd

v1.3 · Effective: 29 September 2026

1. WHO THIS AGREEMENT IS BETWEEN

This Vendor Agreement (“Agreement”) is between:

My Trusted Share Pte Ltd (UEN 201634648K), a company incorporated in Singapore with its registered office at 14 Robinson Road, #08-01A, Far East Finance Building, Singapore 048545, or such other address as is recorded for it from time to time on the public register of companies in Singapore (“MTS”, “we”, “us”, “our”); and

the party — whether an individual acting in the course of a trade, business or profession, a sole proprietorship, or a body corporate — that creates a Vendor account on the Platform (“Vendor”, “you”, “your”).

Vendors are MTS’s customers. “Vendor” is the term the Platform uses for a business that subscribes to the Platform, whatever features of it they use. Where this Agreement, the Platform, our website or our communications refer to our “clients” or “customers”, they mean Vendors. “Vendor” does not mean a supplier to MTS — the third parties who supply services to us are referred to in our documents as Suppliers, or as Subprocessors where they process personal data on our behalf.

By clicking to accept, or by accessing or using the Platform as a Vendor, you agree to this Agreement. If you are accepting on behalf of a company, you warrant that you have authority to bind it.

This Agreement incorporates by reference: the Platform Terms of Use, the Data Processing Agreement, the Acceptable Use Policy and the Privacy Policy. Where this Agreement conflicts with the Platform Terms of Use, this Agreement prevails for Vendors. Where this Agreement conflicts with the Data Processing Agreement in respect of the processing of personal data, the Data Processing Agreement prevails.

This is a business-to-business agreement. You confirm you are entering into it for the purposes of a trade, business, craft or profession, and not as a consumer.

Who this Agreement is for. This Agreement is for Vendors established outside the European Economic Area and the United Kingdom, unless we have expressly agreed otherwise with you in a separate written agreement. You warrant that you are so established, and will tell us immediately if that changes.

2. DEFINITIONS

“Campaign” — a referral campaign you create on the Platform, including your offer, ideal customer profile, partner guidelines and reward structure.

“Campaign Rules” — the terms of a Campaign as you configure them, including reward amount, qualifying criteria, attribution rules, exclusions and payment timing.

“Platform” — the My Trusted Share software-as-a-service platform and associated websites and applications.

“Referral Partner” — a User who has joined one of your Campaigns, whether an individual or a company.

“Referral Reward” — the reward you offer to a Referral Partner under a Campaign.

“Referral Submission” — a referral submitted through the Platform, whether entered by a Referral Partner or submitted by the Referred Lead through your offer page.

“Referred Lead” — a person or business whose details are the subject of a Referral Submission.

“Subscription” — your paid subscription to the Platform.

“Vendor Data” — the records held in your account of your Campaigns and Campaign Rules, Referral Submissions, Referred Leads, attribution outcomes and reward statuses. It does not include the Platform or any pages, materials, software, templates, designs or analytics we provide or generate, which remain ours under clause 11.

“User” — any person or entity with an account on the Platform.

3. THE PLATFORM

3.1 What we provide

Subject to your payment of Fees and compliance with this Agreement, we grant you a non-exclusive, non-transferable, revocable right to access and use the Platform during your Subscription term for your internal business purposes.

3.2 What the Platform is

The Platform is software that records, organises and displays referral activity. It is a tool for managing your own referral programme.

3.3 What the Platform is not

For the avoidance of doubt, MTS is not:

3.4 Team members

You may invite team members to your Vendor account. You are responsible for their acts and omissions on the Platform as if they were your own, and for ensuring they comply with this Agreement.

3.5 Changes to the Platform

We continuously develop and improve the Platform. We may introduce changes from time to time to optimise, improve or evolve the Platform, including but not limited to modifying, adding to, reorganising, or discontinuing features.

3.6 Integrations

The Platform may allow you to connect it to third-party services. Enabling an integration is your decision and your instruction to us to exchange data with that service, whether you configure it yourself or we assist you at your request. Any assistance we provide is a convenience and does not make us responsible for the third-party service, for your account with it, or for your credentials. Your use of that service is governed by your agreement with its provider, not by this Agreement. We do not control or endorse third-party services and are not responsible for them, for their availability, or for anything that happens to data after it leaves the Platform at your instruction. We may add, change or discontinue integrations under clause 3.5.

4. FEES AND SUBSCRIPTION

4.1 Fees

Fees are as displayed at checkout for the plan and billing period you select. Your selection — the plan, billing period and price — is recorded by our systems at the time of purchase. On each renewal, this record is updated to reflect the plan, billing period and then-current price applying to that renewal under clause 4.3. The most recent record is conclusive except in the case of manifest error.

The invoice emailed to you records the Fees and the billing period covered; if an invoice is inconsistent with your recorded selection, the recorded selection prevails, and we may correct and reissue the invoice. An invoice error does not change what either party is entitled to under this Agreement.

Notwithstanding the above, if a pricing, plan or billing-period error appears on the Platform or at checkout — for example through a system fault, misconfiguration or typographical error — offering terms we plainly did not intend, such as an incorrect price or an incorrect subscription length, any order placed on the basis of that error does not bind us, whether or not payment has been processed. We may, within a reasonable time after becoming aware of the error, cancel the affected order, refund the amount paid under it (less a fair amount for any period of service already provided), and offer you the option to subscribe on the correct terms.

4.2 Payment

Fees are payable in advance for the full billing term. Access is contingent on payment.

4.3 Automatic renewal

Your Subscription renews automatically at the end of each billing term, for a further term equal in length to your then-current billing period, at the then-current price, unless you cancel before the end of the current term, or we give notice under clause 15.6. We may send courtesy renewal reminders, but renewal is not conditional on you receiving one — you are responsible for cancelling before your renewal date if you do not wish to continue.

4.4 Cancellation

For your security, cancellation is self-service: a Subscription can only be cancelled through the billing portal in your account. Cancellation requests made by email or any other channel are not effective, and we do not cancel Subscriptions on behalf of account holders.

To stop a renewal, your cancellation must be completed at least one (1) full day before your renewal date — that is, before the day immediately preceding your renewal date begins, as determined by the date and time recorded by our systems, which is conclusive except in the case of manifest error. For example, if your renewal date is 2 September, your cancellation must be completed by the end of 31 August.

A completed cancellation is confirmed on screen, is reflected in your Subscription status in your account, and is confirmed by email sent to your account email address. If your account does not show your Subscription as cancelled, it has not been cancelled — contact support@mytrustedshare.com before your renewal date so this can be resolved in time.

If you cannot sign in to your account, use the password reset on the sign-in page — a reset link is sent to your account email address. If you have also lost access to that email address, contact support@mytrustedshare.com to recover access. Before restoring access, we require verification of the requester’s identity and of their authority over the account. Authority over an account rests with: for an account held by a company or other registered entity, a person shown as a current director, partner or equivalent officer of that entity on the official company or business registry of its place of registration; for an account held by a sole proprietorship, the registered owner of that business; and for an account held by an individual, that individual personally.

To verify identity and authority, we may require information and documents including, but not limited to: government-issued photo identification; company or business registration records; details of the payment method, invoices or transactions on the account; and proof of control of the account email address or of the account holder’s business domain.

We may decline a request where, in our reasonable judgment, the requester’s identity or authority has not been sufficiently verified — including, but not limited to, where requested information or documents are not provided, cannot be verified, or are inconsistent with our records or the relevant registry — or where the account is subject to competing claims. Access is not restored until verification is complete. Access-recovery requests do not extend the cancellation deadline, do not suspend any payment or renewal, and do not themselves cancel a Subscription.

Cancellation stops your Subscription from renewing; you retain access until the end of the current paid term, and Fees already paid remain non-refundable under clause 4.5.

4.5 No refunds

Except where required by law, Fees are non-refundable, including for partial periods, unused capacity, or where you stop using the Platform. No credit is given for downgrades mid-term.

4.6 Price changes

We may change prices for renewal terms on at least thirty (30) days’ notice before your renewal date. If you do not accept, cancel before renewal.

4.7 Taxes

Fees exclude GST, VAT, sales and withholding taxes, which you pay in addition. If you are required to withhold tax, you will gross up so that we receive the full amount.

4.8 Late payment

If a payment fails or any amount is overdue, we may suspend your access to the Vendor features of the Platform until all outstanding amounts have been paid in full. We also reserve the right, at our sole discretion, to charge a late payment fee of up to five percent (5%) of the invoice value on any overdue invoice.

5. YOUR CAMPAIGNS — YOUR CONTROL, YOUR RESPONSIBILITY

5.1 Sole discretion

You have sole and absolute discretion over your Campaigns. You decide the offer, the ideal customer profile, the reward type and amount, the qualifying criteria, the attribution rules, the exclusions and the payment timing. You may create, edit, pause, or delete a Campaign at any time without our approval.

5.2 Sole responsibility

With that control comes sole responsibility. MTS does not set, review, approve, endorse, verify or guarantee any Campaign or Campaign Rules. We are not responsible for their content, fairness, legality, or for any consequence of your decisions about them.

5.3 Version records

The Platform records the version of your Campaign Rules in force at the time of each Referral Submission. This is a record-keeping function only. It does not restrict your ability to edit Campaigns, and it does not make MTS a party to or arbiter of your Campaign Rules.

5.4 Fair dealing

You will deal fairly and in good faith with your Referral Partners in relation to Campaigns and Rewards, and will not vary Campaign Rules retrospectively to the detriment of a Referral Partner in respect of a Referral Submission already made.

5.5 Lawful campaigns

You warrant that each Campaign, and every reward you offer, complies with all applicable laws, including anti-bribery, anti-corruption, competition, consumer protection, advertising, financial services, healthcare and professional conduct rules applicable to your industry.

5.6 Your terms with your Referral Partners

Your relationship with each Referral Partner is yours, not ours. You are responsible for the terms on which they join your Campaign, and for their accuracy, lawfulness and enforcement.

We may make a template available to you as a convenience. It is a starting point only. We give no warranty that it is suitable, complete, or compliant with the law of any jurisdiction, and you should take your own advice before using it. If you adopt it, it becomes your document, published in your name.

Whether you use the template or your own terms, you must not state or imply that MTS: is a party to your agreement with a Referral Partner; guarantees, insures, holds, escrows or will pay any Referral Reward; will resolve, arbitrate or adjudicate any dispute between you and a Referral Partner; or gives any Referral Partner any right, warranty, remedy or standard of service beyond those in the Platform Terms of Use. You have no authority to grant any right against MTS or to accept any obligation on our behalf. Any such statement is void as against us and is a material breach of this Agreement.

You will indemnify us under clause 14 against any claim brought by a Referral Partner arising from terms you published.

6. REFERRAL REWARDS — YOU PAY, NOT US

6.1 The central term

Referral Rewards are paid by you directly to your Referral Partners. MTS never holds, collects, receives, escrows, transmits or disburses Referral Reward funds. The Platform records reward status; it does not move money.

6.2 Your obligation

You will honour Referral Rewards in accordance with your own Campaign Rules, and pay validated Referral Rewards promptly. This obligation is owed by you to your Referral Partners. It is not owed to MTS, and MTS has no duty, and no right on behalf of any Referral Partner, to enforce it. Nothing in this clause limits our rights under clause 15.

6.3 MTS is not a party

MTS is not a party to, guarantor of, or surety for any Referral Reward obligation. Any statuses displayed on the Platform — including “Approved”, “Paid” or similar — are records of what you have told us you have done. They are not payments made by MTS and are not a representation by MTS that payment has occurred.

6.4 Disputes with Referral Partners

All disputes about Referral Rewards, Campaign Rules, attribution decisions, lead rejections or payment are between you and your Referral Partner. You will handle all such queries directly. You will not represent to any Referral Partner that MTS is responsible for resolving them, or that MTS will pay, guarantee, underwrite or recover any Referral Reward, and you will direct any Referral Partner who contacts MTS about such matters back to you. See also clause 5.6.

6.5 Tax

You are solely responsible for determining and discharging all tax obligations arising from Referral Rewards, including income tax reporting, withholding, GST, and any IRAS e-Submission of Commission requirements. MTS does not collect NRIC, FIN, passport numbers or dates of birth. If you require tax identity information from a Referral Partner, you must collect, store and process it yourself, outside the Platform, in compliance with the PDPA and applicable law.

7. ATTRIBUTION

7.1 How it works

The Platform records Referral Submissions and proposes an attribution — that is, which Referral Partner it appears should be credited — based on referral links, submission records and other signals.

7.2 You decide

Attribution proposals are suggestions only. You make the final decision on whether a lead is accepted, and to whom credit is given. You may decline to credit a Referral Partner.

7.3 Reasons

Where you decline a lead or decline to credit a Referral Partner, you will select a reason from the options provided, which will be shown to the affected Referral Partner. Where the reason you select indicates that the Referred Lead was already known to you, or was already in contact with you, before the Referral Submission, you confirm that you hold a record of that Referred Lead pre-dating the Referral Submission.

7.4 No liability for attribution

Because attribution proposals are suggestions and the decision is yours, MTS has no liability to you or to any Referral Partner arising from any attribution outcome, including, but not limited to, duplicate detection, mis-attribution, non-attribution, or any resulting loss of a Referral Reward.

7.5 Automated processing

Attribution proposals involve automated processing. Where required by applicable law, you will make appropriate disclosures to Referral Partners and Referred Leads about automated decision-making.

8. YOUR COMPLIANCE OBLIGATIONS

8.1 Contacting Referred Leads

You are the party that contacts Referred Leads. MTS does not. Before contacting any Referred Lead you will comply with all applicable marketing and anti-spam laws, including:

8.2 Anti-bribery and anti-corruption

You will comply with all applicable anti-bribery and anti-corruption laws, including the Singapore Prevention of Corruption Act, the UK Bribery Act 2010 and the US Foreign Corrupt Practices Act.

You are responsible for satisfying yourself, before approving any Referral Reward, that it is lawful and does not constitute an inducement, secret commission or improper advantage — including where a Referral Partner may be an employee, officer, agent or adviser of the Referred Lead, or may have influence over the Referred Lead’s purchasing decision.

8.3 Data protection

You are the controller (and, under the PDPA, the organisation) in respect of Referred Lead personal data processed through the Platform on your behalf. You will comply with the Data Processing Agreement and with all applicable data protection law, including obtaining any necessary consent or establishing a lawful basis, and providing any required notices to Referred Leads.

8.4 Endorsement disclosure

Where applicable law requires disclosure of a material connection between a Referral Partner and your business — including under the US FTC Endorsement Guides — you are responsible for ensuring your Campaign Rules and partner guidelines require it.

8.5 Accurate representations

You will not make, and will not permit your Referral Partners to make, any false or misleading representation about your products, your rewards, or about MTS.

8.6 Accurate account information

The information you give us about yourself must be true, and must stay true. This includes your legal name, the country in which you are established, your billing details, the account email address to which we send notices, and any other business details recorded in your account.

You warrant that the information you gave us when you created your account was true and complete, and you will keep it accurate and current, updating it in your account promptly when anything changes.

Updating your account is the only way to meet this obligation. Telling us by email, telephone or support chat does not change what is recorded in your account, and does not satisfy this clause.

We may rely on the information recorded in your account without verifying it. A notice sent under clause 17 to the account email address recorded at the time is effective whether or not that address is still in use.

Nothing in this clause limits the warranty in clause 1.

9. YOUR CONTENT AND DATA

9.1 Your ownership

You retain all rights in the content you upload and in the lead data processed through your account (“Vendor Data”).

9.2 Licence to us

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit and display Vendor Data solely to provide and support the Platform, and as set out in the Data Processing Agreement.

9.3 Aggregated insights

We may create and use aggregated and anonymised information derived from use of the Platform for the purposes of operating, securing, analysing and improving our services, and for benchmarking and statistical reporting. Such information will not identify you, any Referral Partner or any Referred Lead, and we will apply appropriate measures designed to prevent re-identification. We will not use identifiable Referred Lead personal data for our own purposes.

9.4 Your warranty

You warrant that you have all rights necessary to provide Vendor Data to us and that our processing of it in accordance with this Agreement will not infringe any third party rights or breach any law.

9.5 Deletion and backups

Where Vendor Data is deleted, it is removed from your account and is no longer available to you through the Platform. Where the Platform provides a recovery area for a particular type of data, deleted items are held there for the period stated in the Platform, during which you may restore them or delete them permanently yourself; if you do neither, they are permanently deleted at the end of that period. Where no recovery area is provided for a type of data, deletion is permanent when you make it. Deleting your account permanently deletes the Vendor Data in it, including anything held in a recovery area.

Copies may remain in routine backups and snapshots, and in incidental records of support communications, until those expire in the ordinary course of our backup and retention cycles. During that period the data is not actively used, and it remains subject to the confidentiality and data protection obligations in this Agreement and the Data Processing Agreement.

Deleting Vendor Data removes it from the Platform. It does not delete the Platform’s own activity record — our record of what was done in your account and when. That record may include submissions and their attribution outcomes, the version of any Campaign Rules or other terms that applied, declarations made by Referral Partners, status and approval changes you recorded, documents the Platform generated at your instruction, and the identifiers, timestamps and account references needed to make sense of them. We keep it for our own purposes — to maintain an accurate and tamper-evident record of activity on the Platform, to detect and prevent fraud and improper conduct, to meet our own legal and record-keeping obligations, to respond to regulators, law enforcement and other lawful requests, and to establish or defend legal claims. The activity record holds no Referred Lead contact details of its own — it references the lead record held in your account. Where you permanently delete a Referred Lead, the personal data identifying that lead is erased and the activity record is kept without it.

Keeping this record does not make us a participant in, or an arbiter of, anything recorded in it — clause 6.4 continues to apply. Referral Partners continue to see their own submissions and the reward statuses you recorded. Where you delete a Referred Lead, the personal data identifying that lead stops being shown to the Referral Partner who referred them, and that Referred Lead is marked in their view as deleted by you, with the date and the deletion reason you selected. Everything else about the referral, and any reward you recorded against it, remains visible to that Referral Partner. This continues to apply if you delete your account: your Campaigns end and your access to the Platform ends, but each Referral Partner keeps their own record of the referrals they made to you and of any reward you recorded, with the personal data identifying your Referred Leads removed.

10. OUR OBLIGATIONS

10.1 Provision of the Platform

We will provide the Platform with reasonable skill and care, and will use commercially reasonable efforts to make it available. We do not warrant uninterrupted or error-free operation.

10.2 Support

We provide support in respect of the operation of the Platform — access, functionality, billing and technical faults. We do not provide support in respect of your Campaigns, Campaign Rules, reward decisions, attribution decisions, disputes with Referral Partners, payment of Referral Rewards, or your own products or services. See clause 6.4.

10.3 Security

We will maintain reasonable technical and organisational security measures appropriate to the Platform, as further described in the Data Processing Agreement.

10.4 Maintenance

We may carry out scheduled and emergency maintenance. We will give reasonable notice of scheduled maintenance where practicable.

11. INTELLECTUAL PROPERTY

We and our licensors own all intellectual property in the Platform, including its software, design, and documentation. Nothing in this Agreement transfers any such rights to you.

You may not copy, modify, reverse engineer, decompile, create derivative works from, resell, sublicense, or attempt to derive the source code of the Platform, or use it to build a competing product.

Publicity: we may identify you as a customer by name and logo on our website and in marketing materials. You may withdraw this permission at any time by writing to support@mytrustedshare.com. We will remove your name and logo from materials we control within a reasonable time; materials already printed or distributed may not be recalled.

12. CONFIDENTIALITY

Each party will keep the other’s confidential information confidential, use it only for the purposes of this Agreement, and protect it with at least reasonable care. This does not apply to information that is public through no breach, independently developed, lawfully received from a third party, or required to be disclosed by law or regulator — in which case, where lawful, the disclosing party will be given notice.

13. WARRANTIES AND DISCLAIMERS

13.1 Mutual

Each party warrants it has authority to enter into this Agreement.

13.2 Disclaimer

To the maximum extent permitted by law, the Platform is provided “as is” and “as available”. We disclaim all implied warranties, including, but not limited to, merchantability, fitness for a particular purpose, non-infringement, accuracy and quiet enjoyment.

13.3 No commercial guarantee

We do not warrant or guarantee that you will receive any referrals, leads, customers, revenue or return on your Subscription. Referral performance depends on your offer, your partners and your market — matters outside our control. Any figures shown in our marketing are illustrative only.

14. INDEMNITY AND LIABILITY

14.1 Your indemnity

You will indemnify and hold harmless MTS, its officers, employees and agents against all claims, losses, liabilities, fines, penalties and reasonable costs (including, but not limited to, legal fees) arising out of or in connection with:

14.2 Unlimited liability

Nothing in this Agreement limits either party’s liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be limited.

14.3 Excluded loss

Subject to clause 14.2, neither party is liable for indirect or consequential loss, loss of profit, revenue, business, goodwill, anticipated savings, or loss of any Referral Reward, however arising.

14.4 Liability cap

Subject to clauses 14.2 and 14.5, our total aggregate liability under or in connection with this Agreement is limited to the Fees you actually paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

14.5 No cap on your indemnity

The cap in clause 14.4 does not apply to your obligations under clause 14.1, or to your payment obligations.

14.6 Basis of the bargain

You acknowledge that the Fees reflect this allocation of risk, and that we would not provide the Platform at these Fees without it.

15. SUSPENSION AND TERMINATION

15.1 Our right to suspend or terminate

We may, at our sole discretion and without any obligation to do so, suspend or terminate your account immediately on notice if we reasonably believe that you:

Where we reasonably consider that immediate action is necessary, we may suspend or terminate first and give notice as soon as reasonably practicable afterwards.

15.2 No duty to act

Clause 15.1 confers rights on us, not obligations. We have no duty to any Referral Partner, Referred Lead or other person to exercise, or to consider exercising, those rights. Our decision not to act is not a waiver, an endorsement, or an assumption of responsibility.

15.3 Your right to terminate

You may terminate at the end of your current term under clause 4.4, or immediately if we are in material breach and have not cured it within thirty (30) days of written notice.

15.4 Effect of termination

Termination means this Agreement ends and you stop being a Vendor. It is not the same as deleting your Account, which is a separate action under clause 4.6 of the Platform Terms of Use. On termination: your right to access the Vendor features of the Platform ends, and any Account you hold continues under the Platform Terms of Use; accrued Fees remain payable; and clauses 6, 8, 9.4, 9.5, 11, 12, 13, 14, 15.4, 15.5 and 17 survive.

15.5 Your data on exit

While your Subscription is active you may export your Vendor Data at any time, in a common machine-readable format of our choosing, and you are responsible for doing so before your Subscription ends. Access to the Vendor features of the Platform ends on termination, and we are under no obligation to provide an export of Vendor Data afterwards.

Exporting your data and returning it are two different things, and only one of them survives termination. There is no export of Vendor Data after termination, as set out above. Separately, data protection law requires us to agree that, once we stop providing the Platform to you, the personal data we process on your behalf under the Data Processing Agreement is deleted or returned at your choice. You have thirty (30) days from termination to tell us which you want, in writing to support@mytrustedshare.com. If you do not tell us within those thirty (30) days, we delete it. A return is chargeable and is provided using our standard export function. Clause 12.1 of the Data Processing Agreement governs. We may withhold or defer a return where we reasonably consider it necessary in connection with suspected fraud, a security incident, or a legal or regulatory investigation, to the extent permitted by law.

Termination does not extinguish any Referral Reward you owe. Rewards accrued before termination remain your obligation to your Referral Partners.

15.6 Our right not to renew

We may decide not to renew your Subscription, for any reason or none, by giving you written notice at least fourteen (14) days before your renewal date. Your Subscription then ends at the end of your current paid term. You keep access until then, and Fees already paid are not refunded. This is not a termination under clause 15.1 and does not imply any breach by you.

16. CHANGES TO THIS AGREEMENT

We may amend this Agreement. For material changes we will give at least fourteen (14) days’ notice, sent to your account email address or given by notice in the Platform. Changes take effect on the stated date.

If a material change is adverse to you and you do not accept it, you may reject it by written notice to legal@mytrustedshare.com before the change takes effect. In that case, the version of this Agreement in force immediately before the change continues to apply to you until the end of your current Subscription term, and the change applies from your next renewal — if you do not wish to be bound by it then, you may cancel your Subscription under clause 4.4 before that renewal.

Alternatively, where you reject a material change, we may elect instead to terminate your Subscription with effect from the date the change takes effect and refund Fees for the unexpired term on a pro-rata basis. This election is ours, at our sole discretion — you cannot require us to make it — and it is the only circumstance in which Fees paid are refundable, notwithstanding clause 4.5 (no refunds). We will tell you which of these two outcomes applies.

Changes required to comply with applicable law or regulation, or with a decision of a regulator or court, take effect on the date we state, which may be on shorter notice where compliance requires it. Those changes apply to you from that date and cannot be rejected under this clause. You may still cancel your Subscription in the ordinary way under clause 4.4: your Subscription will not renew, you keep access until the end of your current term, and Fees already paid are not refunded.

If you do not reject a change before it takes effect, or you continue to use the Platform after that date, you are treated as having accepted it.

Previous versions are retained and are available on request from legal@mytrustedshare.com.

17. GENERAL

Interpretation. In this Agreement, unless the context otherwise requires: words in the singular include the plural and vice versa; headings are for convenience only and do not affect interpretation; a reference to a statute includes that statute as amended or replaced; and “writing” includes email.

Governing law. This Agreement is governed by the laws of Singapore.

Jurisdiction. The courts of Singapore have exclusive jurisdiction, and each party submits to that jurisdiction.

Relationship. Nothing creates a partnership, joint venture, agency or employment relationship.

Assignment. You may not assign without our written consent. We may assign to an affiliate or in connection with a merger, acquisition or sale of assets.

Third party rights. Except for the indemnities in clause 14.1, which are enforceable by the indemnified persons named there, a person who is not a party has no rights under the Contracts (Rights of Third Parties) Act 2001.

Notices. To you: your account email address. To us: legal@mytrustedshare.com or our registered office address stated above or, if it has changed, our then-current registered office address as recorded on the public register of companies in Singapore (UEN 201634648K). A notice sent by email is treated as given on the day it is sent.

Force majeure. Neither party is liable for failure to perform due to events beyond its reasonable control.

Severability. If any provision is unenforceable, the rest remains in force.

Entire agreement. This Agreement, together with the documents it incorporates, is the entire agreement between us and supersedes all prior discussions. Neither party relies on any representation not set out in it.

Waiver. No failure to enforce is a waiver.
